Terms of Service
Last updated: the day SOUNDAR goes live
These Terms govern the use of SOUNDAR, an A&R scouting service available at soundar.app, operated by Grégoire Michelin, entrepreneur individuel (micro-entreprise), SIRET 820 141 430 00034, 1 Rue du Bec Castel, 76790 Étretat, France ("SOUNDAR", "we", "us").
SOUNDAR is a professional tool. By creating an account, you confirm that you are acting for a record label, publisher, management company or other music business ("the Label", "you"), and that you have the authority to accept these Terms on its behalf.
1. The service
SOUNDAR:
- finds artists who are growing in the genres and markets you choose, using licensed music market data;
- looks for a public professional contact email for those artists;
- sends personal demo requests from your own Gmail address, either one by one or automatically ("Autopilot"), within a daily limit;
- gives each artist a private link to upload demos to you;
- lets you listen to, annotate, shortlist, share with your team, and accept or decline those demos, with replies drafted for you.
We may improve, change or remove features over time. If a change significantly reduces the service you pay for, we will tell you in advance.
2. Your account
- You must give accurate information and keep your password secure. You are responsible for everything done through your account and the team links you share.
- New accounts start in test mode. Nothing is sent to artists until we have reviewed and approved your account. We may refuse an account without giving a reason.
- You must be at least 18 years old.
3. Pilot and paid plans
SOUNDAR is currently offered as a free pilot. Paid plans and prices will be communicated to you before any charge, and nothing will be charged without your explicit agreement.
Any free pilot period lasts the time stated when it is offered. After that, continued use requires a paid plan.
4. Sending email in your name
When you connect your Gmail account, you authorise SOUNDAR to send emails from that address on your behalf. SOUNDAR only has permission to send. It cannot read your mailbox. You can disconnect it at any time.
You stay responsible for the outreach sent in your name. In particular, you agree to:
- use SOUNDAR only to invite artists to send you music, and to reply to artists who did;
- keep your email template honest and professional, and say clearly who you are and which label you represent;
- not change the template in a way that removes the artist's option to say no;
- respect opt-outs: SOUNDAR will block further contact with an artist who said no, and you must not get around this, for example by contacting them through another tool using data obtained from SOUNDAR;
- stay within the daily sending limit, and not try to get around it with several accounts;
- comply with the laws that apply to you, including data protection (GDPR) and the rules on electronic communications.
We may pause sending for an account if we see signs of abuse, a high rate of complaints, or a risk to deliverability, and we will tell you why.
5. Artist data
Artist data shown in SOUNDAR (audience figures, playlists, releases, growth) comes from licensed third-party sources, mainly Soundcharts. It is provided "as is" for scouting purposes. We do our best to keep it accurate, but we cannot guarantee that every figure or contact detail is complete, current or correct.
You may use artist data and contact details from SOUNDAR only to evaluate and contact artists through SOUNDAR for your own A&R activity. You may not resell, publish, export in bulk (except the export of your own account data provided in SOUNDAR) or build a database from them, or use them for any other kind of marketing.
When SOUNDAR contacts artists and handles demos for you, it acts as your data processor. Our Data Processing Agreement forms part of these Terms.
6. Demos and music rights
- Artists keep all rights to their music. Uploading a demo transfers no ownership or rights to you or to SOUNDAR.
- You may listen to demos, share them with your team through SOUNDAR, and leave notes, all for the sole purpose of evaluating the music. You may not release, distribute, sample, publish or otherwise exploit a demo without a separate agreement with the artist.
- Any deal with an artist is between you and the artist. SOUNDAR is not a party to it and takes no commission on it, unless agreed otherwise in writing.
- SOUNDAR stores demos only to provide the service to you and the artist.
7. Acceptable use
You must not:
- use SOUNDAR to send spam, misleading messages, or content that is unlawful, hateful or harassing;
- impersonate another label or person;
- try to access other accounts, scrape or copy the service, reverse-engineer it, or overload it;
- upload malware, or use SOUNDAR in a way that harms artists, other labels, or third parties such as Google or Soundcharts.
8. Our intellectual property
SOUNDAR, its software, design, brand and logo belong to us. We give you a personal, non-exclusive, non-transferable right to use the service during your subscription. You keep ownership of the content you add, such as your templates, notes and roster. You give us the right to host and process it only to provide the service.
9. Availability and support
We aim to keep SOUNDAR available at all times, but we do not guarantee uninterrupted service. Maintenance, provider outages (hosting, Google, data providers) or events outside our control may cause interruptions. Support is available at hello@soundar.app.
10. Liability
- Nothing in these Terms limits liability that cannot be limited by law.
- We are not liable for indirect losses, such as lost deals, lost profits or lost opportunities, or for decisions you make based on artist data.
- Our total liability to you for any claim related to SOUNDAR is limited to the amounts you paid us in the 12 months before the event that gave rise to the claim.
- You are responsible for, and will cover us against, claims arising from the emails sent in your name, from your use of artist data, or from your breach of these Terms.
11. Ending the service
- You can close your account at any time from your settings or by writing to us. If you are on a paid plan, closing takes effect at the end of the current billing period.
- We may suspend or close an account that seriously or repeatedly breaches these Terms. Except in urgent cases, we will warn you first.
- After closure, you can ask for an export of your data for 30 days. After that, your data and demos are deleted as described in our Privacy Policy.
12. Changes to these Terms
We may update these Terms. If a change matters, we will email you at least 30 days before it takes effect. If you do not agree, you can close your account before then.
13. Law and disputes
These Terms are governed by French law. If a dispute arises, we will first try to resolve it amicably. If that fails, the courts of Paris will have exclusive jurisdiction, as both parties act as professionals.
For artists who send a demo
If you upload music through a SOUNDAR link:
- you confirm that you own, or are authorised to share, the music you send;
- you keep all rights to it; the label may only listen to it, share it internally and comment on it to decide whether to work with you;
- any agreement with the label is directly between you and the label;
- your data is handled as described in our Privacy Policy, and you can withdraw your demo at any time from your upload page, or ask for deletion by writing to privacy@soundar.app.
